Terms of Service

1. Agreement to Terms

By accessing or using ChartMentor ("Service"), you ("User," "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must immediately cease use of the Service. ChartMentor reserves the right to modify these Terms at any time. Continued use after modifications constitutes acceptance of updated Terms.

2. Eligibility

You must be at least 18 years of age to use ChartMentor. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. No Financial Advice — Assumption of Risk

ChartMentor does NOT provide financial advice, investment advice, trading advice, or any other form of professional advice. All AI-generated analyses, chart readings, trade setups, entry/exit levels, and other outputs are for educational and informational purposes only.

By using ChartMentor, you expressly acknowledge and agree that:

• Trading and investing involves substantial risk of loss, including the possibility of losing your entire investment
• AI analysis may be inaccurate, incomplete, or misleading
• You are solely responsible for all trading and investment decisions you make
• You will not hold ChartMentor liable for any trading losses, missed opportunities, or damages of any kind arising from your use of the Service
• You should always consult a licensed financial professional before making investment decisions

4. Subscription and Billing

ChartMentor offers various subscription plans with included analysis credits. By subscribing, you agree that:

• Subscription fees are billed in advance on a recurring basis according to your chosen plan
• All fees are non-refundable except as required by applicable law or at ChartMentor's sole discretion
• ChartMentor may change pricing at any time with 30 days' notice
• Unused credits do not roll over between billing periods
• You are responsible for maintaining valid payment information
• Failed payments may result in suspension or termination of your account

5. User Responsibilities and Prohibited Uses

You agree that you will NOT:

• Share, resell, sublicense, or redistribute your account access or any AI-generated analyses
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the extension or AI models
• Scrape, crawl, or use automated methods to extract data or analyses from the Service
• Use the Service for any unlawful purpose or in violation of any applicable regulations
• Interfere with, disrupt, or overload the Service or its infrastructure
• Impersonate any person or entity, or misrepresent your affiliation
• Circumvent usage limits, rate limits, or any technical restrictions
• Present AI-generated analyses as your own professional financial advice to third parties

You understand that chart screenshots, prompts, AI inputs, AI outputs, model/provider metadata, and related error data may be stored in private admin logs for support, debugging, service improvement, model evaluation, dataset curation, and abuse prevention as described in the Privacy Policy.

6. Intellectual Property

The Service, including all software, AI models, algorithms, outputs, content, designs, trademarks, and documentation, is the exclusive property of ChartMentor and is protected by international copyright, trademark, patent, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service solely for your personal, non-commercial use in accordance with these Terms.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• ChartMentor, its officers, directors, employees, and affiliates shall NOT be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, trading losses, or loss of business opportunities
• ChartMentor's total aggregate liability for all claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid to ChartMentor in the twelve (12) months preceding the claim
• The Service is provided "AS IS" and "AS AVAILABLE" without any warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement

8. Indemnification

You agree to indemnify, defend, and hold harmless ChartMentor, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use or misuse of the Service; (b) your violation of these Terms; (c) your trading or investment decisions; (d) your violation of any applicable law or regulation; or (e) any content you submit through the Service.

9. Dispute Resolution — Binding Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration association in the jurisdiction of ChartMentor's principal place of business.

YOU WAIVE YOUR RIGHT TO A JURY TRIAL and to participate in a class action lawsuit or class-wide arbitration. Each party shall bear its own costs of arbitration unless otherwise awarded by the arbitrator.

10. Service Modifications and Termination

ChartMentor reserves the right to, at any time and without prior notice:

• Modify, suspend, or discontinue the Service (or any part thereof) temporarily or permanently
• Change AI models, features, or functionality
• Terminate or suspend your account for any reason, including violation of these Terms
• Remove or restrict access to any content or feature

ChartMentor shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which ChartMentor's principal place of business is located, without regard to conflict of law principles. Any legal proceedings not subject to arbitration shall be brought exclusively in the courts of that jurisdiction.

12. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

13. Entire Agreement

These Terms, together with the Privacy Policy and Disclaimer, constitute the entire agreement between you and ChartMentor regarding the Service and supersede all prior agreements, understandings, and communications.
